By accessing jonurbanski.com (the "Site") or engaging Urbanix LLC for consulting services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Site or engage our services.
These Terms apply to all visitors to the Site and to all clients, contractors, and staff who engage with Urbanix LLC ("we," "us," or "our") in any capacity.

4. Intellectual Property

Work product developed under a consulting engagement is governed by the intellectual property terms in the applicable engagement agreement. In the absence of such terms, all work product remains the property of Urbanix LLC until full payment is received.

- Transmit any content that is unlawful, defamatory, harassing, or fraudulent
- Attempt to gain unauthorized access to our systems or any third-party systems

In the course of consulting engagements, each party may receive confidential information belonging to the other. THE SITE AND ALL INFORMATION ON IT ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. URBANIX LLC MAKES NO WARRANTY THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
Technology consulting involves inherent uncertainty. Urbanix LLC does not guarantee specific outcomes, results, timelines, or cost savings from any engagement. Recommendations are based on information available at the time and may require adjustment as conditions change.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, URBANIX LLC AND ITS PRINCIPALS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR OUR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Our total liability for any claim arising out of a consulting engagement shall not exceed the fees paid by the client to Urbanix LLC in the three months preceding the claim.
9. Indemnification
You agree to indemnify, defend, and hold harmless Urbanix LLC, its principals, contractors, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of: (a) your use of the Site in violation of these Terms; (b) your violation of any law or third-party rights; or (c) any misrepresentation you make in connection with an engagement.

This Site may link to third-party websites (such as eratehq.com, pandarays.com, or LinkedIn). We are not responsible for the content, privacy practices, or terms of those sites. Links are provided for convenience only and do not imply endorsement.
11. Governing Law
These Terms are governed by the laws of the State of Illinois, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Sangamon County, Illinois, and you consent to personal jurisdiction in those courts.
